End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("User", "you", or "your") and GO365 Solutions Ltd ("GO365", "we", "our", or "us") for the use of our software products, including extensions for Microsoft Dynamics 365 Business Central (collectively, the "Software").

BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE.

1. License Grant

Subject to the terms of this Agreement, GO365 grants you a limited, non-exclusive, non-transferable, revocable license to:

• Install and use the Software within your Microsoft Dynamics 365 Business Central environment
• Use the Software for your internal business purposes only
• Make copies of the Software for backup purposes only

2. License Restrictions

You may NOT:

• Copy, modify, or distribute the Software except as expressly permitted
• Reverse engineer, decompile, or disassemble the Software
• Rent, lease, lend, sell, or sublicense the Software to third parties
• Remove or alter any proprietary notices, labels, or marks on the Software
• Use the Software to develop competing products
• Use the Software in violation of any applicable laws or regulations

3. Subscription and Payment

For Software obtained through Microsoft AppSource:

• Subscription terms and pricing are as listed on Microsoft AppSource
• Payment is processed through Microsoft's billing systems
• Subscription renewals are automatic unless cancelled
• Refunds are subject to Microsoft AppSource policies

4. Intellectual Property

The Software is protected by copyright and other intellectual property laws. GO365 retains all right, title, and interest in and to the Software, including all copyrights, patents, trade secrets, trademarks, and other intellectual property rights. This Agreement does not grant you any rights to GO365's trademarks or service marks.

5. Data and Privacy

Our Software operates entirely within your Business Central environment. We do not:

• Collect or transmit your business data to external servers
• Access your Business Central tenant data
• Track user behaviour or usage patterns

6. Updates and Support

GO365 may provide updates, patches, or new versions of the Software at its discretion. Such updates may be required to maintain compatibility with Microsoft Dynamics 365 Business Central. Support is provided according to the terms of your subscription or as otherwise agreed.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GO365 DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GO365 BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OF THE SOFTWARE, EVEN IF GO365 HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

GO365'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless GO365 and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Software or violation of this Agreement.

10. Term and Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession.

GO365 may also terminate this Agreement at any time by providing written notice. In such case, you will be entitled to a pro-rata refund of any prepaid subscription fees.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Scotland, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of Scotland.

12. Changes to This Agreement

GO365 reserves the right to modify this Agreement at any time. We will provide notice of material changes by updating the "Last Updated" date. Your continued use of the Software after such changes constitutes acceptance of the modified Agreement.

13. Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect.

14. Entire Agreement

This Agreement constitutes the entire agreement between you and GO365 concerning the Software and supersedes all prior or contemporaneous understandings, communications, or agreements, whether written or oral.
